Terms

1. DEFINITIONS AND INTERPRETATION:
1.1 The following terms as used herein shall have the meaning as stated:
“Company” means Redouble Digital Limited;
“Conditions” means these Conditions of Supply;
“Confidential Information” means any information disclosed by one (the disclosing party) to another (the receiving party) if the disclosing party has notified the receiving party that the information is confidential or the information could reasonably be supposed to be confidential;
“Contract” means any contract between the Company and the Customer for the supply of any Services, incorporating these Conditions;
“Customer” means any person, firm, company or other organisation who is the addressee of the Company’s quotation or acceptance of order issued by the Company and shall include any successor-in-title of the Customer and any company or entity arising (wholly or partly) by way of any merger, amalgamation, reorganisation or acquisition of the Customer;
“Deliverables” means all documents, products and materials developed by the Company or its agents, subcontractors, consultants and employees in relation to the Services in any form, including, without limitation, computer programs, data, reports and specifications (including drafts);
“Input Material” means any documents, plans, drawings, designs or other materials, and any data or other information provided by the Customer to the Company relating to the Services;
“Intellectual Property Rights” means any design rights, utility models, patents, inventions, logos, business names, trademarks, domain names, copyright, moral rights, rights in databases, source codes, reports, drawings, specifications, know how, trade secrets, rights in software, rights in the nature of unfair competition and the right to sue for passing off and any other equivalent or similar rights to any of the foregoing in any jurisdiction, whether registered or unregistered;
“Output Material” means any documents, plans, drawings, designs or other materials, and any data or other information provided by the Company to the Customer relating to the Services;
“Services” means any services agreed in the Contract to be performed by the Company for the Customer (including any part or parts of them) comprised of website design and development services and/or graphic design and branding services and/or search engine optimisation services and/or pay per click services and/or social media management services and/or website hosting services and/or photography or video production services;
“Website” means the Customer’s website in respect of which the parties have agreed that the Services will be provided.
1.2 A reference to a clause is to a clause of these Conditions. Clause headings shall not affect the interpretation of these Conditions.
1.3 Any reference to “parties” means the parties to the Contract and “party” shall be construed accordingly.
1.4 A reference to a particular law is a reference to it as it is in force for the time being taking account of any amendment, extension, application or re-enactment and includes any subordinate legislation for the time being in force made under it.
1.5 Words in the singular include the plural and in the plural include the singular.

2. APPLICATION OF CONDITIONS AND DESCRIPTION OF SERVICES:
2.1 All quotations are made and all orders are accepted by the Company subject only to these Conditions of Supply, which shall prevail notwithstanding any other terms and conditions which the Customer shall bring to the Company’s notice.
2.2 Any quotation is given on the basis that no Contract shall come into existence until the Company accepts the Customer’s order in accordance with the provisions of clause 2.3. Any quotation is valid for a period of 30 days only from its date, provided that the Company has not previously withdrawn it.
2.3 The placing of an order following any quotation or other indication of price shall not be binding on the Company unless and until accepted by the Company in writing.
2.4 The Customer shall ensure that the terms of its order and any Input Material and/or any applicable specification are complete and accurate.
2.5 Any typographical, clerical or other accidental errors or omissions in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by the Company shall be subject to correction without any liability on the part of the Company.
2.6 The Company accepts orders only on the basis that those instructing the Company do so as principals and are therefore liable directly to the Company for all payments of account.
2.7 In certain circumstances, the Company is required by law to collect evidence of identity from its customers. If the Customer fails to supply any due diligence evidence which the Company requests, the Company will be unable to provide the Services to the Customer.
2.8 No order of the Customer may be cancelled by the Customer, except with the Company’s express agreement and on such terms as the Company may require.
2.9 No order of the Customer may be varied, altered or deferred by the Customer, except with the agreement in writing of the Company and on terms that the Customer shall indemnify the Company in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Company as a result of such variation, alteration or deferment.
2.10 The Company reserves the right to charge the Customer for any Output Material provided to the Customer.
2.11 The quantity and description of the Services shall be as set out in the Company’s quotation or acknowledgement of order.
2.12 All samples, drawings, descriptive matter, specifications and advertising issued by the Company and any descriptions or illustrations contained in the Company’s website, catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Services described in them. They shall not form part of the Contract and this is not a sale by sample.
2.13 The Company has no obligation to accept any variation to the Contract requested by the Customer, whether by addition, substitution or omission (or, without limitation, to the Services to be provided under the Contract) and no such request shall be deemed to be accepted in the absence of the Company’s written agreement to the variation.
2.14 If any Services are to be performed by the Company in accordance with any Input Material, instructions, specification or design submitted by the Customer, the Customer shall hold the Company harmless and shall fully indemnify the Company against any and all loss, damage, costs and expenses awarded against or incurred by the Company in connection with, or paid or agreed to be paid by, the Company, in settlement of any claim for infringement of any Intellectual Property Rights of any other person resulting from the Company’s use of any Input Material, instructions, specification or design so submitted.
2.15 The Customer shall ensure that any instructions or specifications submitted by the Customer do not contravene any applicable statutory or regulatory requirements.
2.16 The Services are provided for the Customer’s sole and exclusive use and shall not be used or relied upon by any third party.
2.17 The Company reserves the right to make changes to these Conditions at any time, without prior notification.

3. THE SERVICES:
Where the Company is to provide website design and development services to the Customer:
3.1 Unless otherwise agreed between the Customer and the Company, the Customer agrees to provide the component parts of the Website (namely the text and images) within fourteen (14) days. No refund will be made in the event that the Customer fails to provide sufficient content to complete the design of the Website. If the Website is an e-commerce website, product entry is the Customer’s responsibility.
3.2 Proofs of all work will be submitted for the Customer’s approval and the Company shall incur no liability for any errors not corrected and communicated by the Customer in proofs so submitted. Any alterations suggested by the Customer and additional proofs necessitated thereby may result in additional charges.
3.3 All content must be supplied in a suitable digital format unless agreed otherwise beforehand. Failure to supply material in digital format may result in extra charges being made for processing content for use on the Website. Where the content which is provided is in a form where a significant amount of copywriting is required, a further charge may be made.
3.4 The Customer grants the Company permission to utilise all content, text, logos and any other customer materials or identity for the purposes of creating the Website.
3.5 A design credit with a link to the Company’s website shall appear on all pages of the Website either in text or graphic format. The link will be designed to fit the overall design of the Website.
3.6 The Company retains the right in all cases to use the Services in any manner, at any time and in any part of the world, for the purposes of advertising or otherwise promoting the Company’s work.
3.7 The Customer must provide the Company with copies of the Customer’s terms and conditions and any privacy statement that the Customer wishes to be incorporated into the design.
3.8 In the event that the Company is unable to complete a Website because of lack of text and/or pictures, then text may be added using sample text and pictures using appropriate library pictures. At this point the Website will be considered completed and invoiced accordingly.
3.9 The Company will provide the Customer with the Company’s estimated timescale for progress and completion of the Services and the Company will use its reasonable endeavours to meet those timescales (as long as the Customer performs the Customer’s obligations promptly) but, unless the Company agrees otherwise, any timescales or projected completion dates are estimates only and the Company cannot guarantee that they will be met. In any event, the Company shall have no liability to the Customer if the Company is delayed in performing or is unable to perform any of its obligations under the Contract due to circumstances beyond its reasonable control.
3.10 The Company will design a bespoke Website for the Customer; however, the Customer acknowledges that ‘bespoke’ in this context does not describe the features of the Website’s Content Management System (CMS), unless the Company specifically agrees in writing to provide the Customer with a bespoke Content Management System.
3.11 The acceptance procedure shall be as follows:
(a) when the Company considers the design to be completed, the Website will be uploaded to a test domain for the Customer to preview and the Customer will receive notification by telephone or email;
(b) the Customer will have seven days from the notification to carry out an appraisal of the design and inform the Company of any changes required to correct any errors;
(c) the Company will carry out the agreed amendments within fourteen days. The Customer will then have a further seven days to appraise the changes to the design and inform the Company of any errors in the changes;
(d) after this period the design is considered as accepted, full payment will become due and the Customer will be invoiced for the outstanding costs. Any further amendments are chargeable. The Website will not be launched onto the Customer’s domain until the final payment has been received;
(e) any additional amendments are then chargeable.
3.12 The Customer shall pay the charges for the website design and development services to the Company (with time for payment being of the essence) as follows:
(a) the Customer shall make payment of a non-refundable deposit to the Company prior to commencement of performance of the Services. The deposit payable to the Company shall be 50 % of the charges, unless otherwise agreed in writing by the Company in advance; and
(b) the final 50 % of the charges shall be payable upon acceptance pursuant to clause 3.11 above.
3.13 The Company will aim to ensure that the Website will function correctly on the server on which it is initially installed and that the Website will function correctly when viewed on the latest versions of web browsers including Microsoft Edge, Mozilla Firefox, Safari and Google Chrome. The Company cannot guarantee correct functionality on all different server options due to the large number of possible outcomes.
3.14 All work is based upon the Customer’s responses to the questionnaire provided to the Customer before any work commences; the Customer’s responses essentially comprise the ‘brief’ to the Company and if the Customer subsequently causes this brief to change substantially, the Company reserves the right to impose additional charges.
Where the Company is to provide graphic design and branding services to the Customer:
3.15 The parties shall agree a detailed project specification with respect to any graphic design and branding services to be undertaken by the Company. Any amendments proposed to the project specification must be made in writing and delivered to the other party. If such proposed amendments incur additional expense the Company is entitled to seek further payment to cover such expense. The Customer agrees that the Company holds no responsibility for any amendments made by any third party, before or after the final proof is signed off by the Customer.
3.16 Any indication given by the Company of a project’s duration is to be considered by the Customer to be an estimate. The Company cannot be held responsible for any project over-runs, whatever the cause.
3.17 The Company will require payment on the completion of development milestones where the project involves considerable development time to implement. The Company reserves the right to define such development milestones and the amount of payment to be paid for each.
3.18 The Company will deliver the completed project to the Customer by way of a method selected by the Company. If the Customer requires the completed project to be loaded onto a fileserver using File Transfer Protocol (FTP) the Customer is responsible for ensuring that the intended fileserver or disk space on the fileserver is properly configured.
3.19 On completion of the project, the Company will require the final proof to be signed off by the Customer. Sign off by the Customer will release the Company from undertaking further work related to the project.
3.20 The Customer undertakes to deliver all the content and materials required for the project and in the formats requested to the Company before commencement of the project. Where this is not possible the Customer will deliver such outstanding content and materials to the Company within 7 days of the start of the project. The Customer will notify the Company in writing (as soon as possible) of any delays in delivering content and materials required for the project and provide the Company with a revised timetable for supplying such content and materials. The Company will not be responsible for any delays, missed milestones (where specified in the project) or additional expenses incurred due to the late delivery or non-delivery of content and materials by the Customer where required by the Company for the project.
3.21 The Company will not be held responsible for any image quality which the Customer later deems to be unacceptable. The Company shall not be held responsible for the quality of any images which the Customer wishes to be scanned from printed materials. Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing or data entry services.
3.22 The Company will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. The Company also reserves the right to refuse to include submitted material without giving a reason. If the Company includes images and/or data in good faith, and subsequently discovers them to be in contravention of its inclusion policy or any law or regulation, the Customer is obliged to allow the Company to remove the offending material without hindrance, or penalty. The Company shall be held in no way responsible for the inclusion of any such material.
3.23 Unless otherwise agreed at briefing stage, all artwork produced remains the property of the Company. This excludes photography supplied or purchased and/or any branding images supplied or not produced by the Company. Any and all Intellectual Property Rights are retained by the Company on all design work, design concepts/ideas including words, pictures, ideas, visuals and illustrations unless specifically released in writing. Intellectual Property Rights in the artwork are licensed for use to the Customer on the basis that the artwork may not be modified, re-used or re-distributed in any way or form without the express written consent of the Company. If a choice of design concepts is presented, only one concept is deemed to be given by the Company as fulfilling the Contract. All other design concepts remain the property of the Company, unless agreed in writing that this arrangement has been changed. By supplying text, images and other data to the Company for inclusion in the Customer’s artwork or other medium, the Customer declares that it holds the appropriate Intellectual Property Rights permissions. The ownership of such materials will remain with the Customer, or rightful Intellectual Property Rights owner. The Customer is also responsible for arranging, prior to publication, any necessary legal clearance of materials. Should the Company or the Customer supply an image, text, data, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the Customer will agree to allow the Company to remove and/ or replace the offending material without hindrance, or penalty. The Company is to be held in no way responsible for any such material being included. The Customer agrees to fully indemnify and hold the Company free from harm in any and all claims resulting from the Customer not having obtained all the required Intellectual Property Rights permissions.
3.24 The acceptance procedure shall be as follows:
(a) when the Company considers the work to be completed, the Customer will receive notification by telephone or email;
(b) the Customer will have seven days from the notification to carry out an appraisal of the work and inform the Company of any changes required to correct any errors;
(c) the Company will carry out the agreed amendments within fourteen days. The Customer will then have a further seven days to appraise the changes to the work and inform the Company of any errors in the changes;
(d) after this period the work is considered as accepted, full payment will become due and the Customer will be invoiced for the outstanding costs;
(e) any additional amendments are then chargeable.
3.25 The Customer shall pay the charges for the graphic design and branding services to the Company (with time for payment being of the essence) as follows:
(a) the Customer shall make payment of a non-refundable deposit to the Company prior to commencement of performance of the Services. The deposit payable to the Company shall be 50 % of the charges, unless otherwise agreed in writing by the Company in advance; and
(b) the final 50 % of the charges shall be payable upon acceptance pursuant to clause 3.24 above.
3.26 On the expiration or termination of the Contract, any completed parts of the project already delivered to the Customer or test examples of the project not already paid for by the Customer shall be returned to the Company. Furthermore, the Customer shall not retain any copies of the returned project, parts thereof or test examples of the project.
3.27 All work is based upon the Customer’s responses to the questionnaire provided to the Customer before any work commences; the Customer’s responses essentially comprise the ‘brief’ to the Company and if the Customer subsequently causes this brief to change substantially, the Company reserves the right to impose additional charges.
Where the Company is to provide search engine optimisation services to the Customer:
3.28 The Company will promote the Website in accordance with the package of Services purchased by the Customer.
3.29 The search engine targeted will be Google UK unless otherwise stated.
3.30 The Company will, in its sole discretion, choose suitable sets of words to search for in the search engine and the position in the results obtained using these words will be used for assessing search engine listings. A listing is where the search engine is queried with the words chosen by the Company and the Website address or a link to that address appears in the results returned. The words chosen by the Company will be a test phrase. Although the Website address, or links to that address, will be listed when searching for different words, reports will contain only one test phrase.
3.31 The Company will optimise pages on the Website for the search engine, in accordance with the relevant Service package description (which may include adding, deleting and/or altering text, images, pages, meta-tags, titles, mark-ups, style sheets, scripts, internal and external links and Website structure).
3.32 The Customer must provide the Company with log-in information (FTP username and password) to allow the Company to gain access to the Website. The Company will maintain confidentiality of log-in information. The Customer must inform their webmaster or anyone else who has access to the Website that the Company will be performing search engine optimisation services on the Website.
3.33 The Customer understands that the search engine is an independent company which selects and rank sites using its own criteria and therefore to obtain a high ranking the Customer must follow the Company’s recommendations for optimising the Website for search engine listing. If the Customer fails to follow the Company’s recommendations then the results achieved by the Company will have considerably less importance than would be achieved otherwise.
3.34 The Customer shall assist the Company in ensuring that the Company has the unrestricted ability to optimise the structure and content of the Customer’s web pages. Such changes generally have a minimal visual impact. The Company will work directly with the Customer in order to maintain the original look and feel of the Website.
3.35 Where any changes to the Website made by the Company or on the recommendation of the Company are altered, reversed or deleted, then the Customer must notify the Company immediately. The Company may apply an additional charge in respect of restoration and remedial work.
3.36 The Customer will provide to the Company:
(a) the ability to access and make changes to the Website (or, where the Company agrees, the Customer will promptly make any changes to the Website requested by the Company);
(b) assistance in determining appropriate keywords and key phrases which should be targeted using the Services;
(c) direct access to any existing analytical data concerning the Website, such as data concerning referral sources, visitor activity, Website usage, conversion rates, and similar data.
3.37 The Customer grants the Company a non-exclusive licence to use the Website to the extent required for the Company to perform its obligations and exercise its rights under the Contract.
3.38 Where the Company modifies the Website in the process of providing the Services, the Company hereby grants to the Customer a non-exclusive royalty-free licence to use such modifications in connection with the Website.
3.39 The Customer acknowledges that:
(a) search engine algorithms will change from time-to-time, which may affect the Website’s rankings in the search engine results pages, and the Company has no control over such changes;
(b) it can take many months for the Services to have any significant effects upon the ranking of a Website in the search engine results pages;
(c) search engine optimisation site promotion is an ongoing task and, should the Customer terminate the Contract and/or stop promoting the Website, that would be likely to have a negative impact upon the effects of the Services;
(d) the Company will not be responsible for any alterations to the Website made by the Customer or any third party that reverse or effect changes made to the Website by the Company as part of the Services;
(e) the promotion of the Website may lead to higher traffic levels and bandwidth requirements for the Website, and the Customer will be responsible for arranging and paying for such requirements;
(f) notwithstanding the Services, the Website’s search engine results page rankings and traffic levels may decrease as well as increase;
(g) it is not possible to give any guarantees for any specific result on the search engine, nor can the Company quantify the level of increased traffic or sales or give any guaranteed positioning as a result of the Services; and
(h) the Company does not own or control any directories to which the Website may be submitted, and no refunds will be given in the event of any refusal to include the Website in any directory database.
3.40 The search engine optimisation services shall be provided subject to the minimum terms and notice periods set out in clause 3.106, subject to earlier termination under clause 12.
Where the Company is to provide pay per click services to the Customer:
3.41 The Customer will bid for the ranking or a listing which appears in the search results generated by the Company in response to a search term closely matching the subject of the search listing. The amount of the Customer’s bid determines the ranking of their listing in a search results list.
3.42 The Company reserves the right to refuse, reject, cancel, remove, edit or vary any search terms, descriptions, listings and bids at any time for any reason whatsoever.
3.43 The Customer must only submit search terms, titles and descriptions to the Company that are relevant to the Website. If any information provided on the Website changes, the Customer must update their search terms and descriptions to be both current and accurate. All search terms and descriptions submitted are subject to relevancy review by the Company’s staff and are subject to removal or rejection. No refunds will be issued for charges incurred to any account as a result of submitting irrelevant words to the Company.
3.44 The Customer agrees to pay Google based on the cost of click-throughs by users on a search listing, and also agrees to pay monthly management fees to the Company.
3.45 The number of click-throughs is measured by online reporting systems utilised by the Company and the Customer acknowledges that data generated from this software shall be the definitive and only measure of the number of click-throughs.
3.46 The Customer will be charged on a monthly basis for each click delivered. The charge per click will vary depending upon the search terms used.
3.47 Monthly reports will be sent to the Customer by email. If the Customer terminates the Contract, the Company will delete or pause any created campaign.
3.48 Pay per click services are provided with no warranty with respect to the number of click-throughs per search listing which will be delivered and the Company will not be liable for any delay in changing any bid by the Customer.
3.49 The Company does not guarantee that the Company’s search listings will be available or displayed. The format and style of the Customer’s listing may vary and the Company makes no representations as to the format and style of search listings.
3.50 The pay per click services shall be provided subject to the minimum terms and notice periods set out in clause 3.106, subject to earlier termination under clause 12.
Where the Company is to provide social media management services to the Customer:
3.51 The Company will complete an initial set up of the campaign based around the social media accounts in the Customer’s chosen package. Where required, designs which complement the Website style and company branding will be produced for the Customer’s approval.
3.52 Once the initial set up has been approved by the Customer, social media accounts will be set up for each of the Customer’s social media pages and login details will be sent to the Customer once the pages have been built and completed.
3.53 The Company will ensure that the Customer’s content is optimised and syndicated to blog search engines. The Customer may supply blog content to the Company in a word document; the Company will optimise and upload the blog content, and additionally distribute the blog to social media and social bookmarking properties and portals. The Customer should also supply the Company with the latest news, new products, promotions and anything else that the Customer considers should be published. If the Customer is unable to provide the content on a timely regular basis, the Company can offer a paid copywriting service.
3.54 Google Analytics may need to be added to the Website if not already set up and social media tracking will be added to the account to enable full tracking from the social media distribution. This is separately chargeable unless otherwise agreed.
3.55 The Customer must provide the Company with full FTP access to the Website. Removal of or restriction of access may relieve the Company of its obligations under the Contract; or, in the event that the Customer cannot or will not provide the Company with Full FTP access, the Company will provide the Customer with instructions on how to populate the Customer’s conversion tracking on the Website.
3.56 The Company will set up social media account profiles as agreed at the start of the project.
3.57 The Company will integrate the accounts into the Website, where necessary.
3.58 Initially, the Company’s main aim shall be to build and integrate the social media accounts into the Website.
3.59 Subsequently, the Company will optimise and distribute the Customer’s content to the relevant social media accounts depending upon the content the Customer sends to the Company.
3.60 The Company will supply the Customer with a monthly activity report, which will include any recommendations the Company believes will benefit the campaign and generation of traffic to the Website.
3.61 If the Customer wishes the Company to market new products and services, setting up this element of the campaign may attract an additional set-up fee.
3.62 From time to time, the Company may recommend changes to the Website to improve the conversion rate, the bounce rate or the effectiveness of the campaign; the Company will always quote the Customer for any additional work and will only proceed with the Customer’s approval.
3.63 The social media management services shall be provided subject to the minimum terms and notice periods set out in clause 3.106, subject to earlier termination under clause 12.
Where the Company is to provide website hosting services to the Customer:
3.64 The Company will make available to the Customer hosting capacity on a shared or a dedicated server which meets the Customer’s requirements in all material respects.
3.65 Use of hosting resources by the Customer is subject to such use being reasonable; any excessive use (as determined by the Company) will be deemed to be in breach of these Conditions.
3.66 The Company may determine that a Customer is using server resources to such an extent that the Customer risks jeopardizing server performance and resources for other Customers. In any such instance, the Company reserves the right to suspend the Website immediately, or continue to host the Website but require the Customer to pay an additional fee.
3.67 The Company shall use all reasonable endeavours to respond to the Customer’s notification of interruptions or other problems and to rectify any problems with reasonable diligence.
3.68 The Company will not guarantee or be liable for any breaks in the continuity of the electricity supply or of the telecoms link to the server that is provided by a third party.
3.69 If service is suspended or interrupted the Company shall use all reasonable endeavours to restore service with minimum delay, but the Company will not be liable for any lost, corrupted or destroyed data as a result of any suspension or interruption.
3.70 The Company accepts no responsibility for server downtime or interruptions to service caused by circumstances beyond the Company’s control.
3.71 The Customer undertakes that the Website shall not be used directly or indirectly for any unlawful purpose. Unlawful purposes are deemed to include but are not limited to:
(a) civil and criminal offences of copyright and trademark infringement;
(b) transmission or display or posting of indecent, obscene or pornographic material;
(c) commission of any criminal offence (including deliberate transmission of computer viruses) under the Computer Misuse Act 1990 or similar legislation in any country;
(d) any transmission or display or posting of any material which is defamatory, offensive, or is of an abusive or menacing character;
(e) use of the Website in any manner which is a violation or infringement of the rights of any individual, firm or company within the United Kingdom and elsewhere which, for the avoidance of doubt shall include but not be limited to the use of any materials, photographs and/or images without obtaining the prior consent of any relevant third party;
(f) the use of the Website for purposes generally deemed to be unacceptable, including spamming, hacking, phreaking, password cracking, pirated software, ROMS, emulators, or IP spoofing or providing “links” or “how to” information to such material.
3.72 The Customer will indemnify the Company against all and any losses and costs that the Company may incur as a result of any breach of clause 3.71 above.
3.73 The Customer will ensure that the Website complies with the laws, regulations and requirements of any country from which it can be accessed.
3.74 If the Company has reasonable grounds for believing that there has been or that there may be a breach of these Conditions, the Company reserves the right to monitor any and all communications passing through the server.
3.75 If the Website is used for any unlawful use the Company may suspend or terminate service immediately and at the same time as suspension or termination occurs, the Company shall notify the Customer. Where suspension or termination occurs, the Company reserves the right to delete all of the Customer’s files (including web pages) without prior notice.
3.76 Subject to the requirements of clauses 2.14 and 2.15, the Company will advise the Customer on selecting domain names and will register domain names for the Customer at the Company’s stated rates, but cannot guarantee that a certain name will be available. The Company gives no warranty that any domain name will not infringe the Intellectual Property Rights of any third party. Any registered domain can only be used for any legal, decent and honest use on the Internet and must not breach any UK laws. A domain name cannot be used for any immoral or pornographic use. The Company reserves the right not to register or assign any domain name for any reason whatsoever. The Company reserves the right to delete or suspend the registration of any domain name if any payment in respect thereof has been defaulted upon and may at its discretion levy administration charges in re-establishing any domain name or any service related thereto. The Company reserves the right to vary the rate charged for domain name registrations and renewals and/or modify any related services by providing at least 31 days’ notice via its website of any cost or service changes. The Company reserves the right to charge an administration fee in respect of any request to transfer a domain name to another provider or party. If the Customer fails to renew a .co.uk domain before its expiry date, all services in respect thereof will be suspended and the Customer will have up to 30 days (protected period) in which to renew the domain name at the original renewal fee and must contact our Renewals Department to effect renewal. After this 30 day period, the Customer’s domain will be suspended and will be subject to the Company’s case by case assessment regarding the possibility of renewal, although the Company cannot guarantee that renewal will or may be effected. If the domain name is not then renewed, the domain name will eventually be deleted from the register and made available for resale through a third party registrar and any specific dates for this eventuality will be provided by our Renewals Department upon request by the Customer. If the Customer fails to renew a .com domain before its expiry date, the Customer’s domain and all services in respect thereof will be suspended and will be subject to the Company’s case by case assessment regarding the possibility of renewal, although the Company cannot guarantee that renewal will or may be effected. Any domains showing a status of REDEMPTION PERIOD will incur an additional redemption fee of £120.00 +VAT. The Company will acknowledge receipt of any contact from the Customer within 5 days.
3.77 If requested by the Customer, the Company will provide an email account on the domain within the quoted costs (or as an alternative, forwarding to an existing email account elsewhere can be arranged).
3.78 The Company accepts no responsibility for email server downtime or interruptions to service. Email accounts must not be used for “spam” emailing operations.
3.79 The Company is not responsible for establishing or troubleshooting the Customer’s Internet broadband facility, which provides the Customer’s Internet connection and outgoing mail server. This is the responsibility of the Customer’s own individual ISP which normally provides appropriate telephone support.
3.80 The Company reserves the right to feature the Website in future promotions without seeking prior consent.
3.81 The Customer grants the Company a non-exclusive licence to use the Website to the extent required for the Company to perform its obligations and exercise its rights under the Contract.
3.82 The Company may discontinue the website hosting services without liability to the Customer if the Company’s authority to provide the website hosting services should cease or be suspended.
3.83 The website hosting services shall be provided subject to the minimum terms and notice periods set out in clause 3.106, subject to earlier termination under clause 12.
3.84 Where the Company is to provide photography and/or video production services to the Customer:
3.85 Any changes or additions to the Services (including without limitation, any change to the format agreed for provision of the Output Material, or any additional days’ shooting, will be charged at the Company’s applicable rates).
3.86 Any indication given by the Company as to production timescales shall be deemed to be an estimate; whilst the Company will use reasonable efforts to meet any deadline notified to it by the Customer, the Company shall not be liable for any delay in performing the Services, even where such delay is caused by the Company’s negligence.
3.87 The equipment used during production will be at the discretion of the senior member of the Company’s crew. In the unlikely event that the Company experiences equipment failure or difficulties, the Company will use reasonable efforts to procure suitable replacement equipment as soon as possible.
3.88 The Company reserves the right to change any production time or date to a more suitable time or date in the event that production is likely to be adversely affected by inclement weather conditions, since the welfare of the Company’s equipment and personnel is paramount.
3.89 The Company reserves the right to remove, at the Customer’s cost, any of the Company’s personnel and/or equipment from a location if the Company reasonably deems the said location to be unsafe, or if said personnel are subjected to abusive or aggressive behaviour.
3.90 If the Customer cancels the production or any part thereof the charges payable to the Company for the production shall (to the extent that they have not already been paid) remain fully payable and shall become immediately payable by the Customer.
3.91 In the event of production being delayed, postponed or aborted due to the fault of the Customer or anything occasioned by the Customer, then the Customer shall be solely responsible for any resulting or associated costs, charges and expenses, together with the additional costs, charges and expenses of undertaking any work at a different time or undertaking any further work for the Customer. If production is permanently aborted pursuant to this clause 3.90, then all charges referred to in clause 3.91 shall also become immediately payable, to the extent that they have not already been paid.
3.92 The Customer must give the Company at least two weeks’ written notice if the Customer wishes to change any production date; otherwise, the Customer will be solely liable for any costs, charges and expenses arising from having to change the agreed production date and from shooting on a different date.
3.93 If production locations are to be organised by the Customer, it is the Customer’s responsibility to ensure that the Company has clear and unencumbered access to all relevant parts of any location required to undertake the work, since any costs incurred due to the Company’s access being obstructed shall be for the sole account of the Customer.
3.94 Copyright must first be obtained from the original copyright owner before any Input Material may be included in the production. Copyright in the Input Material must be explicitly transferred to the Company without charge. The Company reserves the right to use any and all Input Material included in the production (in full or in part) for promotional purposes.
3.95 The Company shall not be required by the Customer to produce anything which, in the Company’s reasonable opinion, would constitute an infringement of any copyright or any other intellectual property rights, or which is or may be of an illegal, scandalous, obscene or libellous nature.
3.96 The Company recommends that the Customer uses and enforces Waivers and/or Performers’ Release Forms at all times. No liability will be accepted by the Company if the production must be re-edited due to a subject refusing permission to show their image in whatever form.
3.97 The Company reserves the right to withhold delivery and transfer of ownership of the Output Material if any charges payable to the Company have not been paid in full. Any grant of any license or transfer of copyright ownership agreed by the Company under these Conditions is expressly subject to the timely payment of all charges payable to the Company.
3.98 A first cut of the production will be forwarded to the Customer for its review. This first cut may receive one set of revisions only; those revisions are included in the charges. Any subsequent revisions thereafter will be charged at the Company’s daily rates.
For all Services:
3.99 The Customer shall not, without the prior written consent of the Company, whether acting on the Customer’s own account, on behalf of, or with any other person (including any person which the Customer directs to act on its behalf), at any time from the date of first provision of the Services to the expiry of 6 months after the last date of supply of the Services, solicit or entice away from the Company or employ (or attempt to employ) or otherwise engage or attempt to engage the services of any person who is, or has been, engaged as an employee, consultant or subcontractor of the Company in the provision of the Services.
3.99.1 The restriction in clause 3.99 shall also apply to the Customer soliciting or engaging any of the Company’s suppliers, contractors, or business partners introduced to the Customer through the provision of Services.
3.99.2 The Customer acknowledges that breach of clause 3.99 would cause irreparable harm to the Company and agrees that the Company shall be entitled to seek injunctive relief in addition to the compensation specified in clause 3.100.

3.100 Any consent given by the Company in accordance with clause 3.99 shall be subject to the Customer paying to the Company a sum equivalent to 15 % of the then current annual remuneration of the Company’s employee, consultant or subcontractor.

3.101 PPC – The terms of agreement for any PPC service will be established upon the decision to implement the PPC service. Payment applies for the full month regardless of the start date agreed. The minimum terms and notice periods set out in clause 3.106 shall apply. Upon termination, customers are required to remove any numbers and (or) code that have been implemented on their website. The account is part of Redouble Digital Limited intellectual property, as there are no management set-up fees, the account remains the property of Redouble Digital Limited upon termination.

3.102 Social Media – The terms of agreement for any social media service will be established upon the decision to implement the social media service. Payment applies for the full month regardless of the start date agreed. The minimum terms and notice periods set out in clause 3.106 shall apply. Upon termination, customers are required to remove any numbers and (or) code that have been implemented on their website and (or) social media accounts.

3.103 Call Tracking – The terms of agreement for call and (or) website tracking will be established upon the decision to implement tracking. Payment applies for the full month regardless of the start date agreed. The minimum terms and notice periods set out in clause 3.106 shall apply. Upon termination, customers are required to remove any numbers and (or) code that have been implemented on their website.

3.104 Website Retainers – The terms of agreements for website service retainers will come into effect when an agreement is started. Payment applies for the full month regardless of the start date agreed. The minimum terms and notice periods set out in clause 3.106 shall apply.

3.105 Cookie Compliance and Data Protection:

3.105.1 The Customer acknowledges that websites may use cookies and similar tracking technologies that require compliance with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR), the Privacy and Electronic Communications Regulations (PECR), and any other applicable privacy legislation.

3.105.2 The Customer shall be solely responsible for: (a) determining what cookies and tracking technologies are necessary for the Website; (b) ensuring the Website’s cookie usage complies with all applicable laws and regulations; (c) providing the Company with a compliant cookie policy and privacy policy for implementation on the Website; (d) instructing the Company on the required cookie consent mechanism and categories; (e) maintaining and updating cookie consent mechanisms and related documentation as required by law.

3.105.3 Where the Company implements cookie consent tools or mechanisms at the Customer’s request, such implementation is provided on the basis of the Customer’s instructions and specifications. The Company makes no warranty as to the legal compliance of any such implementation.

3.105.4 The Customer shall indemnify and hold the Company harmless against all losses, damages, costs, and expenses (including legal fees) arising from any claim, action, or regulatory enforcement related to: (a) the Website’s use of cookies or similar technologies; (b) non-compliance with cookie consent requirements; (c) breaches of data protection laws relating to cookies or tracking technologies; (d) the accuracy or completeness of cookie policies or privacy notices.

3.105.5 The Company may provide general technical guidance on cookie implementation but does not provide legal advice. The Customer is advised to seek independent legal counsel regarding cookie compliance requirements for their specific circumstances.

3.105.6 Any cookies necessarily used by the Company solely for the technical provision of the Services (such as testing or development) shall be the Company’s responsibility during the development phase only. Upon delivery of the Website to the Customer, all cookie compliance responsibility transfers to the Customer.

3.106 Minimum Terms and Notice Periods:

3.106.1 Unless otherwise agreed in writing, all ongoing Services (including but not limited to SEO services, pay per click services, social media management services, website hosting services, call tracking, and website retainers) shall be subject to: (a) an initial minimum term of three (3) months from the commencement date (“Initial Minimum Term”); (b) following the Initial Minimum Term, the Services shall continue on a rolling monthly basis subject to termination by either party giving not less than thirty (30) days’ written notice.

3.106.2 Notwithstanding clause 3.106.1(b), where the Customer has continuously received Services for a period exceeding six (6) months, the notice period for termination shall automatically increase to three (3) months (“Extended Notice Period”). The Company shall notify the Customer of this change at least thirty (30) days before the Extended Notice Period takes effect.

3.106.3 For the avoidance of doubt, the minimum terms and notice periods in this clause 3.106 apply in addition to any other termination rights set out in clause 12.

3.106.4 Any termination notice must be given in writing and specify the Services to be terminated. Partial termination of Services is permitted where the Customer receives multiple Services.

3.106.5 The Customer remains liable for all charges during the Initial Minimum Term and any applicable notice period.

3.107 Transitional Provisions: For existing Customers receiving Services at the date these updated Conditions come into effect, the Extended Notice Period in clause 3.106.2 shall apply from the date that is six (6) months after the commencement of their current Services or thirty (30) days after these updated Conditions come into effect, whichever is later.

3.108 Data Protection and GDPR Compliance:

3.108.1 For the purposes of this clause, “Data Protection Legislation” means all applicable data protection and privacy legislation including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003, and any successor legislation.

3.108.2 The parties acknowledge that for the purposes of the Data Protection Legislation, the Customer is the data controller and the Company is the data processor in respect of any personal data processed in connection with the Services.

3.108.3 The Company shall: (a) process personal data only on the documented instructions of the Customer; (b) ensure that persons authorised to process personal data have committed themselves to confidentiality; (c) implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk; (d) not engage another processor without prior specific or general written authorisation of the Customer; (e) assist the Customer in responding to requests for exercising data subjects’ rights; (f) delete or return all personal data at the end of the provision of Services; (g) maintain records of all processing activities carried out on behalf of the Customer; (h) cooperate with supervisory authorities; (i) notify the Customer without undue delay after becoming aware of a personal data breach.

3.108.4 The Customer warrants that: (a) it has all necessary consents and lawful basis to share personal data with the Company; (b) it will comply with all applicable Data Protection Legislation; (c) it will indemnify the Company against all losses, costs, and liabilities arising from any breach of Data Protection Legislation caused by the Customer’s acts or omissions.

3.108.5 The Company may appoint sub-processors for data processing, including but not limited to:

(a) International platform providers (Google, Meta, etc.) 

(b) Analytics and tracking providers 

(c) Cloud infrastructure providers 

(d) Marketing automation platforms 

3.108.6 The Customer pre-approves all standard industry platforms as sub-processors and agrees that notification of new sub-processors may be provided via the Company’s website.

3.109 Cyber Security:

3.109.1 The Company shall implement reasonable security measures to protect against unauthorised access to or alteration, disclosure, or destruction of data. However, the Customer acknowledges that no system is completely secure.

3.109.2 The Customer is strongly advised to: (a) maintain appropriate cyber insurance covering data breaches and cyber attacks; (b) implement their own backup procedures for all data; (c) maintain strong passwords and access controls; (d) promptly install all security updates and patches.

3.109.3 The Company’s total liability for any data breach or security incident shall be limited to the value of fees paid by the Customer in the 12 months preceding the incident, except where such limitation is prohibited by law.

3.110 Third-Party Platform Accounts:

3.110.1 Where the Company creates accounts on third-party platforms (including but not limited to Google Ads, social media platforms, analytics tools): (a) Such accounts remain the property of the Company unless explicitly transferred in writing; (b) The Customer is granted access for the duration of the Services only; (c) Upon termination, the Company may, at its discretion, transfer ownership or revoke access; (d) The Customer shall not change passwords or access credentials without the Company’s consent.

3.110.2 The Customer acknowledges that the Company’s strategies, campaign structures, and optimisations within these accounts constitute proprietary methodologies and remain the Company’s Intellectual Property.

3.110.3 Upon any transfer, the Company may:

(a) Remove all custom scripts, automations, and proprietary tools

(b) Reset all optimization history and learning

(c) Delete all custom audiences and segments

(d) Remove all documentation and strategic notes

(e) Charge a transfer fee of 3 months’ management fees

3.110.4 The Customer acknowledges that post-transfer performance may significantly deteriorate due to loss of optimization history and proprietary enhancements.

3.111 Advertising Services – Compliance and Responsibilities:

3.111.1 Customer Warranties and Representations The Customer warrants and represents that: (a) all advertising content, claims, offers, and representations they request the Company to use are truthful, accurate, and comply with all applicable laws and regulations, including but not limited to the Consumer Protection from Unfair Trading Regulations 2008, the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code), and the Advertising Standards Authority (ASA) guidelines; (b) they own or have obtained all necessary rights, licenses, and permissions for any images, videos, trademarks, logos, or other content provided for use in advertising campaigns; (c) their products or services comply with all applicable laws, regulations, and industry standards; (d) they have all necessary licenses, permits, and authorisations to advertise their products or services; (e) any testimonials, reviews, or endorsements provided are genuine and comply with applicable regulations.

3.111.2 Account Access and Security (a) The Customer shall not grant access to any advertising accounts managed by the Company to any third party, including other agencies, consultants, or contractors, without the Company’s prior written consent. (b) Any unauthorised access granted by the Customer shall immediately terminate the Company’s obligations under this Contract, and the Company shall not be liable for any resulting losses, account issues, or campaign performance degradation. (c) The Customer is solely responsible for maintaining the security of their own access credentials and shall immediately notify the Company of any suspected unauthorised access. (d) The Customer shall not modify campaign settings, budgets, or configurations without prior consultation with the Company.

3.111.3 No Performance Guarantees The Customer expressly acknowledges and agrees that: (a) no guarantees are made regarding advertising performance, including but not limited to impressions, clicks, conversions, return on ad spend (ROAS), or any other metrics; (b) no guarantees are made regarding sales, leads, revenue, or any business outcomes; (c) advertising performance depends on numerous factors outside the Company’s control, including but not limited to market conditions, competition, seasonality, platform algorithms, and user behaviour; (d) past performance does not guarantee future results; (e) any projections or estimates provided are for planning purposes only and do not constitute guarantees.

3.111.4 Platform Risks and Liability Exclusions (a) The Company shall not be liable for any account restrictions, suspensions, deletions, bans, or other penalties imposed by advertising platforms, including but not limited to Google Ads, Meta (Facebook/Instagram), LinkedIn, TikTok, or any other platform. (b) The Customer acknowledges that advertising platforms may change their policies, algorithms, or terms of service at any time without notice, and the Company bears no liability for any resulting impact. (c) The Company is not responsible for platform outages, technical issues, or errors in platform reporting. (d) The Customer shall bear all costs associated with rectifying account issues, including any required legal or professional fees.

3.111.5 Advertising Compliance and Indemnity (a) The Customer is solely responsible for ensuring their advertising complies with all applicable laws, including but not limited to:

  • Financial promotions regulations (if applicable)
  • Health claims regulations
  • Age-restricted product regulations
  • Data protection and privacy laws
  • Distance selling regulations
  • Intellectual property laws
  • Industry-specific regulations

(b) The Customer shall fully indemnify and hold harmless the Company, its directors, employees, and agents against any and all claims, losses, damages, costs (including legal costs on an indemnity basis), fines, penalties, or expenses arising from:

  • false or misleading advertising claims
  • intellectual property infringement
  • regulatory investigations or enforcement actions
  • consumer complaints or claims
  • platform policy violations
  • any breach of applicable advertising laws or regulations

3.111.6 Budget and Financial Responsibility (a) The Customer is solely responsible for all advertising spend and shall ensure sufficient funds are available. (b) The Company is not liable for overspends caused by platform errors, Customer-approved changes, or market conditions. (c) Any refunds or credits from platforms remain the property of the Customer but may be retained in the advertising account for future use. (d) The Customer acknowledges that advertising platform billing discrepancies, delayed charges, or billing errors may occur and agrees to cooperate in resolving such issues without holding the Company liable for platform billing practices.

Where the Company is to provide white label services:

3.112 White Label Services – Special Terms:

3.112.1 Definitions for White Label Services

  • “Agency Partner” means the party contracting with the Company for white label services
  • “End Client” means the Agency Partner’s client who will ultimately receive the benefit of the Services
  • “White Label Services” means any Services provided by the Company that the Agency Partner represents as their own services to the End Client

3.112.2 Agency Partner Responsibilities The Agency Partner shall: (a) maintain sole responsibility for all client relationships and communications with End Clients; (b) not disclose the Company’s involvement to any End Client without prior written consent; (c) ensure all End Client instructions and materials are accurately communicated to the Company; (d) be solely responsible for all contractual obligations to End Clients; (e) handle all End Client complaints, disputes, and payment collection; (f) provide the Company with sufficient information about the End Client to perform the Services effectively.

3.112.3 Confidentiality and Non-Disclosure (a) The Company’s involvement must remain strictly confidential unless otherwise agreed in writing. (b) The Company shall not contact End Clients directly except with the Agency Partner’s express written permission. (c) All communications regarding the Services shall be between the Company and the Agency Partner only.

3.112.4 Liability and Indemnification (a) The Agency Partner shall indemnify the Company against all claims from End Clients. (b) The Company’s liability is limited exclusively to the Agency Partner and does not extend to any End Client. (c) The Agency Partner warrants that it has appropriate terms and conditions with End Clients that limit liability appropriately. (d) The Agency Partner shall maintain adequate professional indemnity insurance covering the White Label Services.

3.112.5 Intellectual Property and Branding (a) All work product shall be delivered without the Company’s branding unless otherwise agreed. (b) The Agency Partner may brand the work product as their own for End Client delivery. (c) The Company retains the right to use generic examples of work in its portfolio without identifying the Agency Partner or End Client. (d) The Agency Partner warrants it has the right to use any End Client materials provided to the Company.

3.112.6 Payment and Commercial Terms (a) The Agency Partner remains liable for all fees regardless of End Client payment. (b) Non-payment by End Clients does not excuse the Agency Partner’s payment obligations. (c) The Company may require deposits or different payment terms for White Label Services. (d) The Agency Partner shall not disclose the Company’s pricing to End Clients.

3.112.7 Non-Solicitation of End Clients (a) The Company agrees not to solicit or accept work directly from any End Client introduced by the Agency Partner for a period of 24 months after the last provision of services to that End Client. (b) If an End Client approaches the Company directly, the Company shall refer them to the Agency Partner. (c) Breach of this clause shall entitle the Agency Partner to 24 months’ worth of fees that would have been earned from that End Client.

3.112.8 Quality Standards and Approvals (a) The Agency Partner shall review and approve all work before delivery to End Clients. (b) Once approved by the Agency Partner, the Company bears no liability for End Client satisfaction. (c) The Agency Partner is responsible for ensuring work meets End Client requirements.

3.113 Insurance Requirements:

3.113.1 The Customer shall maintain, at its own expense, appropriate business insurance throughout the term of this Contract, including but not limited to: (a) public liability insurance of at least £1,000,000; (b) professional indemnity insurance of at least £250,000 where the Customer is providing professional services; (c) cyber insurance covering data breaches and cyber incidents where the Customer processes personal data or operates e-commerce facilities.

3.113.2 Upon request, the Customer shall provide evidence of such insurance coverage to the Company.

3.113.3 The Customer’s insurance obligations shall not limit its liabilities or obligations under this Contract.

3.114 Audit Rights:

3.114.1 The Company shall have the right, upon reasonable notice, to audit the Customer’s use of the Services to ensure compliance with these Conditions.

3.114.2 Such audits may include but are not limited to: (a) reviewing account access logs and user permissions; (b) verifying compliance with platform terms of service; (c) ensuring advertising content compliance; (d) confirming appropriate use of Intellectual Property.

3.114.3 The Customer shall cooperate fully with any such audit and provide reasonable access to relevant information.

3.114.4 If an audit reveals non-compliance, the Customer shall promptly remedy any issues and pay the Company’s reasonable costs of conducting the audit.

3.115 Use of AI and Automated Tools:

3.115.1 The Customer acknowledges and agrees that the Company may use artificial intelligence, machine learning, automated tools, and third-party software platforms in the provision of Services.

3.115.2 The Customer consents to their data being processed by third-party AI services and automated tools, subject to appropriate technical and organisational safeguards being in place.

3.115.3 The Company shall not be liable for any errors, omissions, or inappropriate content generated by AI or automated tools. All AI-generated content shall be subject to human review where practicable, but the Customer acknowledges the inherent limitations of such technology.

3.115.4 The Customer remains responsible for reviewing and approving all AI-generated materials before publication or implementation.

3.115.5 The Company makes no warranties regarding the accuracy, completeness, or suitability of outputs from AI or automated tools.

3.116 Evolving Regulatory Landscape: 3.116.1 The Customer acknowledges that digital marketing regulations, including but not limited to advertising standards, data protection laws, platform policies, and industry-specific regulations, change frequently and without notice.

3.116.2 The Company shall not be liable for any compliance issues, penalties, or losses arising from regulatory changes that occur after the completion of service delivery.

3.116.3 The Customer shall be solely responsible for ongoing monitoring of regulatory compliance and updating their practices accordingly.

3.116.4 The Company reserves the right to suspend or terminate Services immediately if new regulations or interpretations make the continued provision of Services non-compliant or legally problematic.

3.116.5 Any additional work required to ensure compliance with new regulations shall be charged separately at the Company’s then-current rates.

3.117 Data Retention and Deletion:
3.117.1 Following termination of this Contract, the Company shall retain Customer data for a period of twelve (12) months for the purposes of potential dispute resolution and regulatory compliance.

3.117.2 After the retention period, the Company shall securely delete all Customer data, except where retention is required by law, regulation, or legitimate business interests.

3.117.3 The Customer may request earlier deletion of their data by providing thirty (30) days’ written notice and paying any associated administrative costs.

3.117.4 Data stored in backup systems may be retained for longer periods due to technical limitations, but shall not be actively accessed except for disaster recovery purposes.

3.117.5 The Company’s obligations under this clause are subject to any conflicting requirements from third-party platforms or regulatory authorities.

3.118 Platform Dependency and Business Continuity:
3.118.1 The Customer acknowledges that the Services are heavily dependent on third-party platforms including but not limited to Google, Meta, LinkedIn, TikTok, and other digital advertising and analytics platforms.

3.118.2 The Company shall not be liable for any losses, damages, or service interruptions caused by the closure, substantial modification, or unavailability of any third-party platform. including but not limited to API limitations, rate limiting, service degradation, or temporary unavailability of platform features essential for campaign management.

3.118.3 In the event that a major platform becomes unavailable or fundamentally changes its services, the Company shall use reasonable endeavours to provide alternative solutions, but such alternatives may be subject to additional charges.

3.118.4 Migration of campaigns, data, or services to alternative platforms shall be charged separately at the Company’s then-current rates.

3.118.5 The Company does not guarantee the continued availability or functionality of any third-party platform or service.

3.119 Performance Measurement and Reporting:
3.119.1 Performance measurement shall be based on metrics agreed in writing at the commencement of Services. In the absence of specific agreement, industry-standard metrics shall apply.

3.119.2 The Company shall provide reports at intervals specified in the Service description, or monthly if not otherwise specified.

3.119.3 The Customer shall provide feedback on reports within seven (7) days of receipt. Failure to provide feedback shall be deemed acceptance of the report.

3.119.4 Historical data availability is subject to third-party platform retention policies. The Company cannot guarantee access to data beyond the periods maintained by relevant platforms.

3.119.5 “Reasonable performance” shall be measured against industry benchmarks and platform norms, taking into account factors including but not limited to market conditions, competition, seasonality, and budget constraints.

3.120 Tracking and Analytics Implementation Authority: 3.120.1 The Customer hereby grants the Company explicit authority to implement, install, and configure tracking technologies on the Customer’s digital properties, including but not limited to: (a) conversion tracking pixels and codes; (b) analytics tracking codes (Google Analytics, Facebook Pixel, etc.); (c) heat mapping and user behaviour tracking tools; (d) call tracking numbers and systems; (e) form tracking and lead capture mechanisms; (f) cross-platform tracking and remarketing pixels; (g) any other tracking technologies deemed necessary for campaign optimisation and reporting.

3.120.2 The Customer acknowledges that such tracking implementation is essential for effective campaign management and performance measurement.

3.120.3 The Company shall not be liable for any performance degradation, conflicts, or technical issues arising from tracking implementation on the Customer’s website or digital properties.

3.121 Tracking Compliance and Privacy Liability: 3.121.1 The Customer is solely responsible for ensuring that all tracking technologies implemented by the Company comply with applicable privacy laws, including but not limited to GDPR, PECR, CCPA, and any other data protection regulations.

3.121.2 The Customer warrants that they have obtained, or will obtain, all necessary consents from end users for the tracking technologies implemented by the Company.

3.121.3 The Customer shall indemnify the Company against all claims, fines, penalties, and legal costs arising from: (a) non-compliance with privacy and tracking consent requirements; (b) failure to provide adequate privacy notices to end users; (c) improper collection, storage, or processing of user data through tracking technologies; (d) violations of platform-specific privacy policies or requirements; (e) any regulatory enforcement action related to tracking or data collection.

3.121.4 The Company provides tracking implementation as a technical service only and does not provide legal advice regarding compliance requirements.

3.122 Advertising Platform Algorithm and Policy Changes: 3.122.1 The Customer acknowledges that advertising platforms (including Google Ads, Meta, LinkedIn, TikTok, and others) regularly change their algorithms, bidding systems, and performance optimization methods without notice.

3.122.2 The Company shall not be liable for any reduction in advertising performance, increased costs, or campaign disruption caused by: (a) advertising platform algorithm updates or changes; (b) modifications to bidding systems or auction mechanics; (c) changes to quality score calculations or ad relevance determinations; (d) platform policy updates affecting ad delivery or targeting; (e) shifts in competitive landscape or auction dynamics; (f) seasonal algorithm adjustments or testing by platforms.

3.122.3 Such changes may require campaign restructuring or strategy modifications, which shall be charged separately at the Company’s then-current rates.

3.123 Ad Disapprovals and Platform Rejections: 3.123.1 The Company shall not be liable for any advertising delays, performance impacts, or additional costs arising from: (a) ad disapprovals or rejections by advertising platforms; (b) account restrictions or limitations imposed by platforms; (c) creative asset rejections or policy violations; (d) targeting restrictions or audience limitations imposed by platforms; (e) compliance reviews or manual assessments by platform teams.

3.123.2 Time spent on appeals, resubmissions, or alternative creative development shall be charged separately.

3.123.3 The Customer acknowledges that platform approval processes are beyond the Company’s control and may impact campaign launch timelines.

3.124 Privacy Updates and Tracking Limitations: 3.124.1 The Customer acknowledges that privacy updates from device manufacturers, browsers, and operating systems (such as iOS 14.5+, cookie deprecation, etc.) may significantly impact tracking accuracy and campaign performance.

3.124.2 The Company shall not be liable for: (a) reduced conversion tracking accuracy due to privacy updates; (b) limited audience targeting capabilities resulting from data restrictions; (c) increased campaign costs due to reduced optimization data; (d) attribution discrepancies between platforms and analytics tools; (e) loss of remarketing audience data or targeting capabilities.

3.124.3 The Company will make reasonable efforts to implement alternative tracking solutions but cannot guarantee equivalent performance or accuracy.

3.125 Data Accuracy and Reporting Limitations: 3.125.1 The Customer acknowledges that all performance data, analytics, and reporting are subject to the limitations and methodologies of third-party platforms and tools.

3.125.2 The Company shall not be liable for: (a) discrepancies between different analytics platforms or reporting tools; (b) data sampling limitations or statistical variations in reports; (c) delayed or revised data from advertising platforms; (d) technical errors in third-party tracking or reporting systems; (e) data loss due to platform maintenance or technical issues beyond the Company’s control.

3.125.3 The Company will use commercially reasonable efforts to provide accurate reporting but cannot guarantee absolute precision or real-time accuracy.

3.126 Customer Data Usage for Service Provision: 3.126.1 The Customer grants the Company authority to access, analyse, and utilise Customer data (including website analytics, customer databases, and performance data) solely for the purpose of providing the Services.

3.126.2 Such usage includes but is not limited to: (a) creating lookalike audiences and custom targeting segments; (b) optimizing campaigns based on customer behaviour data; (c) implementing conversion tracking and attribution modelling; (d) conducting performance analysis and strategic recommendations; (e) integrating data across multiple advertising platforms and analytics tools.

3.126.3 The Company will maintain confidentiality of all Customer data but shall not be liable for any compliance issues arising from the Customer’s data collection or processing practices.

3.127 Indefinite Marketing and Case Study Rights: 3.127.1 The Customer hereby grants to the Company a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, display, publish, and distribute the Customer’s: (a) company name, trade names, and business names; (b) logos, trademarks, service marks, and brand elements; (c) business imagery, photography, and visual content; (d) website screenshots and digital asset representations; (e) testimonials, feedback, and performance data; (f) project descriptions and campaign details; (g) results, metrics, and success indicators; (h) any other materials or information relating to the Services provided.

3.127.2 Such usage rights include but are not limited to: (a) inclusion in the Company’s website portfolio and case studies; (b) marketing materials, brochures, and sales presentations; (c) advertising campaigns across all media channels; (d) social media content and posts; (e) blog articles and thought leadership content; (f) conference presentations and speaking engagements; (g) awards submissions and industry recognition applications; (h) promotional videos and multimedia content; (i) client testimonial campaigns and reference materials.

3.127.3 The Company may modify, edit, enhance, or combine the Customer’s materials with other content for marketing purposes, provided such modifications do not materially misrepresent the Customer’s business or the results achieved.

3.127.4 These rights shall survive termination of this Contract indefinitely and may not be revoked by the Customer for any reason, including but not limited to contract termination, business relationship changes, or competitive concerns.

3.127.5 The Customer warrants that it has the authority to grant these rights and that such usage will not infringe any third-party rights or violate any confidentiality obligations.

3.127.6 The Customer waives any right to approve or review the Company’s marketing materials before publication, though the Company will use reasonable efforts to represent the Customer’s business professionally.

3.127.7 The Company may anonymise or genericise case studies and results data while retaining the right to specify the industry sector and general business type.

3.127.8 For the avoidance of doubt, these marketing rights are granted as part of the consideration for the Services and do not entitle the Customer to any additional compensation or royalty payments.

3.128 Administrative Access Requirements:

3.128.1 The Customer shall provide the Company with full administrative access to ALL digital properties, platforms, and accounts necessary for Service delivery, including but not limited to:

(a) Google Ads, Google Analytics, Google Tag Manager, Google Search Console

(b) Meta Business Manager, Facebook Ads Manager, Instagram accounts

(c) TikTok Ads Manager and TikTok Business Center

(d) Website CMS, hosting, DNS management

(e) Any other advertising or analytics platforms

(f) Domain registrar accounts where tracking implementation requires DNS changes

3.128.2 Such access must include the highest level of permissions available, including ability to:

(a) Add/remove users and modify permissions

(b) Access billing and payment methods

(c) Create and modify conversion tracking

(d) Access historical data without restrictions

(e) Export all data and settings

3.128.3 Failure to provide or maintain such access shall:

(a) Immediately release the Company from all performance obligations

(b) Not excuse payment obligations

(c) Entitle the Company to charge additional fees for any resulting inefficiencies

(d) Void any performance-related guarantees or commitments

3.128.4 The Customer shall not modify access levels without 48 hours prior written notice to the Company.

3.129 Data Rights and Intelligence Development:

3.129.1 The Company shall have the perpetual right to:

(a) Aggregate and anonymize all performance data for benchmarking purposes

(b) Develop proprietary algorithms, methodologies, and machine learning models using insights gained

(c) Create industry reports and performance standards using aggregated data

(d) Retain all learnings, optimizations, and strategic insights developed during Service provision

3.129.2 The Company owns all:

(a) Campaign structures and optimization methodologies

(b) Bidding strategies and algorithms developed

(c) Audience segmentation approaches

(d) Testing frameworks and results interpretations

(e) Custom scripts, rules, and automations created

3.129.3 Upon termination, while raw data remains with the Customer, all strategic interpretations, optimization histories, and methodological documentation remain the Company’s property.

3.130 Competitor Engagements:

3.130.1 The Company reserves the right to provide Services to the Customer’s competitors without restriction.

3.130.2 The Company shall implement appropriate information barriers but makes no guarantee of exclusivity unless specifically agreed in writing with additional compensation.

3.130.3 The Customer acknowledges that general industry knowledge and platform expertise gained while servicing their account may benefit other clients.

3.130.4 Any non-compete arrangements must be:

(a) Explicitly agreed in writing

(b) Limited in scope and geography

(c) Subject to additional compensation of at least 25% above standard rates

3.131 Emergency Access Protocols:

3.131.1 The Customer shall provide emergency contact details for authorized decision-makers available 24/7.

3.131.2 In cases of:

(a) Account suspensions or critical platform issues

(b) Significant spend anomalies or budget overruns

(c) Security breaches or unauthorized access

(d) Time-sensitive opportunities requiring immediate action

The Company may take unilateral action to protect the Customer’s interests and shall be held harmless for reasonable actions taken.

3.131.3 The Customer pre-authorizes emergency spending of up to 20% above agreed budgets to maintain campaign continuity during platform issues.

3.132 Change Management and Audit Trails:

3.132.1 The Company shall maintain logs of all significant account changes for 24 months.

3.132.2 The Customer acknowledges that:

(a) Not all optimization decisions will be documented due to volume

(b) Proprietary optimization methods may not be fully disclosed

(c) Platform-native history may be insufficient for full reconstruction

3.132.3 The Company’s internal records shall be definitive for any disputes regarding changes made.

3.133 Transparency and Proprietary Methods:

3.133.1 While the Company commits to reasonable transparency, the following remain confidential:

(a) Specific bid optimization algorithms

(b) Proprietary audience identification methods

(c) Testing methodology frameworks

(d) Platform relationship benefits or beta access

(e) Margin structures on media spend

3.133.2 The Customer acknowledges that full transparency would compromise the Company’s competitive advantage and agrees that high-level strategic transparency satisfies all obligations.

3.134 Platform Relationship Protection:

3.134.1 For 24 months following termination, if the Customer engages directly with any platform representative introduced by the Company, the Customer shall pay the Company a fee equal to 12 months of average monthly management fees.

3.134.2 The Customer shall not:

(a) Seek direct platform support without Company involvement

(b) Attend platform training or events using Company-provided access

(c) Utilize beta features or programs accessed through Company relationships

3.135 Emerging Technology Rights:

3.135.1 Any use of new or emerging technologies (including but not limited to new AI tools, automation platforms, or advertising channels) implemented by the Company remains the Company’s intellectual property.

3.135.2 The Customer shall not reverse-engineer, replicate, or share with third parties any beta features, early access tools, or experimental approaches provided by the Company.

3.136 Liquidated Damages:

3.136.1 The parties acknowledge that certain breaches would cause damages that are difficult to quantify. Therefore, the following liquidated damages shall apply:

(a) Unauthorized sharing of account access with competitors or other agencies: 12 months management fees

(b) Early termination within Initial Minimum Term: equivalent of remaining months’ fees in the term

(c) Modification of tracking codes without notification causing data loss: 3 months management fees

(d) Removal of Company representatives from ad accounts without notice: 3 months management fees

(e) Public disparagement of Company’s services on review platforms: 12 months management fees

(f) Disclosure of Company’s proprietary methods to third parties: 12 months management fees

(g) Failure to pay causing platform account suspensions: 3 months management fees plus all reinstatement costs

3.136.2 These amounts represent genuine pre-estimates of loss and are not penalties. They are without prejudice to any other remedies available.

3.136.3 Payment of liquidated damages is due within 14 days of demand.

3.136.4 Before enforcing liquidated damages, the Company will:

(a) Provide written notice of the breach

(b) Offer a 7-day cure period where possible

(c) Consider good faith efforts to remedy the situation

(d) Be open to negotiating alternative resolutions

3.136.5 Liquidated damages may be waived or reduced at Company’s discretion for clients demonstrating good faith partnership.

3.137 Performance Benchmarking and Industry Intelligence:

3.137.1 The Company shall have perpetual, irrevocable rights to:

(a) Use all performance data in anonymized, aggregated formats for industry benchmarking

(b) Publish sector-specific performance reports using aggregated client data

(c) Create performance indices and industry standards

(d) Develop predictive models using historical performance patterns

(e) Share aggregated insights at conferences, in marketing materials, and publications

3.137.2 Benchmarking data may include but is not limited to:

(a) Click-through rates by industry and platform

(b) Conversion rates by sector and season

(c) Cost per acquisition trends

(d) Return on ad spend patterns

(e) Budget allocation effectiveness

(f) Creative performance metrics

(g) Audience behavior patterns

3.137.3 While individual Client data remains confidential, the Company owns all:

(a) Aggregated trend analyses

(b) Industry performance standards developed

(c) Predictive models created

(d) Benchmarking methodologies

(e) Performance percentile rankings

3.137.4 The Customer may not opt out of anonymized benchmarking participation as this data improves service delivery for all clients.

3.138 Platform API Changes and Deprecation:

3.138.1 The Customer acknowledges that the Services depend on third-party APIs that may be:

(a) Modified, restricted, or deprecated without notice

(b) Subject to rate limiting or usage quotas

(c) Changed in ways that affect functionality

(d) Removed entirely by platform providers

3.138.2 In the event of API changes that materially affect service delivery:

(a) The Company shall use reasonable efforts to find alternative solutions

(b) Any development work for alternatives is chargeable at current rates

(c) Service levels may be temporarily or permanently reduced

(d) The Company bears no liability for platform-imposed limitations

3.138.3 Specific examples include but are not limited to:

(a) Removal of keyword-level bid adjustments

(b) Deprecation of audience targeting options

(c) Changes to conversion tracking methods

(d) Limitations on data export capabilities

(e) Restrictions on automated rules or scripts

3.138.4 The Customer agrees that:

(a) Historical performance may become unrepeatable due to API changes

(b) Certain optimizations may become impossible

(c) Reporting granularity may be reduced

(d) Manual workarounds may increase management time without increasing fees

3.138.5 Major API deprecations entitle the Company to:

(a) Renegotiate service scope without penalty

(b) Terminate affected services with 30 days notice

(c) Adjust performance targets to reflect new limitations

3.139 Mandatory Testing and Innovation Budget:

3.139.1 The Customer acknowledges that continuous testing is essential for campaign optimization and agrees to allocate:

(a) Minimum 15% of monthly ad spend for testing initiatives

(b) Additional budget for seasonal testing periods

(c) Specific allocations for new platform features

(d) Budget for creative testing and iteration

3.139.2 Testing budget shall be used for:

(a) Creative A/B and multivariate testing

(b) Audience expansion and refinement

(c) Bid strategy experimentation

(d) New platform or feature trials

(e) Landing page optimization tests

(f) Seasonal strategy validation

3.139.3 The Company has sole discretion over testing budget allocation within these parameters:

(a) No single test may exceed 25% of monthly testing budget

(b) Tests must run for statistically significant periods

(c) Failed tests are considered valuable learning investments

(d) Test results remain Company intellectual property

3.139.4 Restrictions on testing budget:

(a) Void any performance guarantees or expectations

(b) Limit the Company’s ability to optimize effectively

(c) May result in degraded long-term performance

(d) Entitle the Company to annotate all reports with testing limitation disclaimers

3.139.5 The Customer pre-approves the following without consultation:

(a) Google Performance Max campaigns (up to 20% of budget)

(b) Meta Advantage+ campaigns (up to 20% of budget)

(c) Automated bidding strategy tests

(d) Dynamic creative optimization

(e) New placement testing within platform recommendations

3.139.6 Testing Performance Protection:

(a) Testing periods are excluded from performance assessments

(b) Month-on-month comparisons must account for testing impact

(c) The Company is not liable for temporary performance dips during tests

(d) Successful tests may be scaled without additional approval up to 50% of total budget

3.140 Integrated Digital Performance Framework:

3.140.1 The Customer acknowledges that optimal performance requires:

(a) Full administrative access (Clause 3.128)

(b) Adequate testing budgets (Clause 3.139)

(c) Acceptance of platform limitations (Clause 3.138)

(d) Participation in benchmarking (Clause 3.137)

3.139.7 Flexible Testing Arrangements:

(a) Clients may propose alternative testing approaches

(b) Testing budgets can be adjusted seasonally

(c) Clear communication about risk/reward of reduced testing

(d) Option to increase testing after seeing initial results

3.140.2 Failure to provide any of these elements releases the Company from any express or implied performance commitments and may trigger applicable liquidated damages.

3.141 Mutual Success Partnership:

3.141.1 Both parties acknowledge that digital marketing success requires collaborative partnership and commit to:

(a) Open, honest communication about challenges and opportunities

(b) Regular strategic reviews and feedback sessions

(c) Shared learning from both successes and failures

(d) Flexibility in approaching unexpected market changes

3.141.2 The Company offers the following partnership benefits:

(a) Quarterly business reviews with strategic recommendations

(b) Priority access to new platform features and betas

(c) Shared industry insights and benchmarking data

(d) Flexible approach to testing when results show promise

3.142 Performance Improvement Protocol:

3.142.1 If performance targets are not being met, the Company will:

(a) Conduct a complimentary audit within 5 business days

(b) Present an improvement plan with specific actions

(c) Implement priority optimizations at no extra charge

(d) Provide weekly updates during improvement periods

3.142.2 The Customer agrees to support improvement efforts by:

(a) Promptly implementing website recommendations

(b) Considering budget increases for scaling successful tests

(c) Providing timely feedback on creative assets

(d) Attending monthly strategy calls

3.143 Client Data Separation:

3.143.1 The Company maintains strict data separation protocols ensuring:

(a) No individual client data is visible to other clients

(b) Account access is restricted to assigned team members

(c) Competitive conflicts are managed through team separation

(d) All staff sign confidentiality agreements

3.143.2 However, the Company reserves the right to apply learnings across accounts in the form of improved strategies and approaches.

3.144 Service Credits and Adjustments:

3.144.1 While the Company does not guarantee results, we offer the following good faith provisions:

(a) Service credits for proven platform outages exceeding 24 hours

(b) Pro-rata fee adjustments for services genuinely not delivered

(c) One-time strategy pivot at no charge if initial approach proves ineffective after 90 days

(d) Complimentary training session for Customer’s team upon request

3.144.2 These provisions demonstrate our commitment to fair dealing while acknowledging the inherent uncertainties in digital marketing.

3.145 Ethical Advertising Standards:

3.145.1 Both parties commit to:

(a) Truthful, non-misleading advertising practices

(b) Respect for user privacy and data protection

(c) Avoiding dark patterns or deceptive practices

(d) Promoting inclusive and accessible digital experiences

3.145.2 The Company reserves the right to decline or modify campaigns that could harm user trust or violate ethical standards.

3.146 Creative Asset Development and Rights:

3.146.1 For creative assets developed during campaigns:

(a) Raw creative files remain Company property unless separately purchased

(b) Customer receives license to use final approved versions

(c) Stock footage/music licenses must be renewed independently

(d) Creative performance data informs future Company work

3.147 International Campaign Considerations:

3.147.1 For campaigns targeting multiple countries:

(a) Additional fees apply for multi-language management

(b) Currency fluctuations exceeding 5% may trigger fee adjustments

(c) Local compliance research is chargeable separately

(d) Time zone support limited to UK business hours unless agreed

3.148 Business Continuity and Succession:

3.148.1 In the event of Company sale or restructuring:

(a) Customer contracts remain valid and binding

(b) Service quality commitments transfer to successors

(c) 60-day notice provided of any material changes

(d) Option to terminate without penalty during transition

4. PRICE:
4.1 Prices for the Services, howsoever given, are based on conditions ruling on the date of their giving and are subject to change. The effective price for the Services shall be the price confirmed by the Company in its written notification of acceptance of the Customer’s order pursuant to clause 2.3. Where appropriate, the Services will be charged at the Company’s then-current hourly rates.
4.2 The Company reserves the right, by giving notice to the Customer at any time before provision of the Services , to increase the price of the Services to reflect any increase in the cost to the Company which is due to any factor beyond the control of the Company (such as, without limitation, any foreign exchange fluctuation, currency regulation, any increase in the costs of labour, materials or other costs of production), any change in delivery dates, quantities or specifications for the Services which is requested by the Customer, or any delay caused by any instructions of the Customer or failure of the Customer to give the Company adequate, accurate or complete information or instructions.
4.3 Unless otherwise stated, the price quoted will be exclusive of Value Added Tax which will be charged at the rate which is applicable at the date of commencement of performance of the Services.
4.4 The price of the Services excludes any disbursements incurred (including but not limited to travel, photography, copywriting, stock imagery, courier and other reasonable costs, charges and expenses) which will be separately charged to the Company.
4.5 The Company shall not be liable to the Customer if for any reason the Company shall have failed to provide the Services in full, provided that the Company shall have used its reasonable endeavours to rectify any such failure and the Customer shall remain liable to pay all of the charges for the Services to the Company notwithstanding any such failure.
4.6 Any waiver or reduction of any price will only be applicable if agreed by the Company in writing.

5. PERFORMANCE:
5.1 Whilst the Company will endeavour to provide the Services in accordance with the Customer’s requirements, the Company will not be liable for any consequences of any delay in the provision of the Services, howsoever caused.
5.2 Unless otherwise agreed in writing by the Company, the performance of the Services shall take place at the Company’s place of business.
5.3 The Company may perform the Services in separate tranches. Each separate tranche shall be invoiced and paid for in accordance with the provisions of the Contract.
5.4 Each tranche shall be a separate contract.
5.5 No cancellation or termination of any one contract relating to a tranche shall entitle the Customer to repudiate or cancel any other contract or tranche.

6. CONFIDENTIAL INFORMATION AND INTELLECTUAL PROPERTY RIGHTS:
6.1 The Customer and the Company agree that in the course of the Company providing Services to the Customer, the parties may disclose to each other certain Confidential Information. The Customer and the Company agree that each party will maintain the Confidential Information’s confidentiality and not disseminate it to any third party without the disclosing party’s prior written consent, save that this obligation shall not apply to any Confidential Information that either party has a duty (whether legal or otherwise) to communicate or that is in the public domain or is already in the receiving party’s possession through no fault of the receiving party. Neither party shall use any Confidential Information for any purpose other than the discharge of its respective obligations under the Contract.
6.2 The Customer acknowledges the Company’s ownership of any and all Intellectual Property Rights in any Deliverables and any Output Material and in any Services provided to the Customer pursuant to the Contract and agrees not to contest the Company’s ownership or use of any such Intellectual Property Rights. Subject to any rights granted to the Customer in relation to any of the Services detailed in clause 3, the Customer shall not acquire any such Intellectual Property Rights or any licence or grant of rights therein. The Customer further acknowledges that, without limitation, any and all Intellectual Property Rights developed by the Company in performing any Services shall become vested and shall vest in the Company absolutely and shall also be subject to the other provisions of this clause 6.2.
6.3 All marketing campaigns created by Redouble Digital Limited, remain the property of Redouble Digital Limited. Redouble Digital Limited has the right to retain all marketing and optimisations unless other agreements are in place.
6.4 The Customer warrants that it owns or has the right to use all Input Material provided to the Company and that such use will not infringe any third party’s Intellectual Property Rights.

6.5 The Customer acknowledges that the Company may use general knowledge, skills, experience, and ideas gained during the provision of Services for other clients, provided that no Confidential Information is disclosed.

6.6 Any pre-existing Intellectual Property Rights owned by the Company, including but not limited to methodologies, frameworks, tools, and know-how, shall remain the property of the Company. The Customer is granted a non-exclusive licence to use such materials solely in connection with the Services.


7. PAYMENT:
7.1 Subject only to any special terms agreed in writing between the Company and the Customer, the Company shall be entitled to invoice the Customer for the price of the Services on or at any time after acceptance of the Customer’s order.
7.2 Subject to any particular requirements for any of the Services detailed in clause 3, provided that the Customer has produced references which in the Company’s opinion are satisfactory, then settlement terms will be net 30 days from the invoice date. In all other cases payments shall be made in advance upon submission by the Company of a pro-forma invoice.
7.3 The time of payment of the price shall be of the essence of the Contract.
7.4 All payments shall be made without any deduction, withholding or set-off.
7.5 Failure by the Customer to pay any invoice by its due date shall entitle the Company to:
(a) at its option, to charge interest at the rate of five percent (5%) per annum above Lloyds TSB Bank plc’s base lending rate from time to time calculated on a daily basis (whether before or after any judgment) until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest);
(b) charge the Customer with any costs incurred by the Company in the course of collecting outstanding monies due to the Company from the Customer;
(c) suspend any warranty for the Services or any other services supplied by the Company to the Customer, whether or not they have been paid for;
(d) appropriate any payment made by the Customer to such of the Services as the Company may think fit;
(e) set off any amount owed by the Company to the Customer against any amount owed by the Customer to the Company on any account whatsoever;
(f) terminate the Contract, or suspend or cancel any future performance of Services; and
(g) cancel any discount (if any) offered to the Customer.
7.6 The Company reserves the right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998.
7.7 All payments payable to the Company under the Contract shall become due immediately on its termination despite any other provision.
7.8 Security Deposits: The Company reserves the right to require security deposits from new Customers or Customers with poor payment history. Such deposits shall be equivalent to one month’s fees and shall be refundable upon satisfactory completion of the initial term.
7.9 Platform Cost Adjustments: Where Services include management of paid advertising, the Company may adjust management fees automatically to reflect increases in platform costs (including but not limited to Google Ads, Meta advertising costs) by providing thirty (30) days’ written notice.

7.10 Currency Fluctuation: For international Customers or where Services involve multi-currency transactions, the Company reserves the right to adjust prices to reflect currency fluctuations exceeding 5% from the rate applicable at Contract commencement.

8. FORCE MAJEURE:
The Company reserves the right to defer the date of provision of the Services, or to cancel the Contract or reduce the volume of the Services ordered by the Customer (without liability to the Customer) if it is prevented from, or delayed in, the carrying on of its business (wholly or in part) due to circumstances beyond the reasonable control of the Company including, without limitation, Acts of God, governmental actions, war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, flood, epidemic, lock-outs, strikes or other labour disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers, or any inability or delay in obtaining supplies of adequate or suitable materials, or the failure or demise of any source of supply.

9. WARRANTY:
9.1 The Company warrants (subject to the other provisions of these Conditions) that the Services will be performed with reasonable skill and care.
9.2 The Company’s liability pursuant to clause 9.1 shall be limited to re-performing those Services found not to have been performed with reasonable skill and care and notified to the Company within the period set forth in clause 9.3.
9.3 Any deficiency in the performance of the Services shall be notified to the Company within 7 days of completion of the performance of the Services; otherwise, the Services shall be deemed to be satisfactory and a charge will be made for additional rectification work.
9.4 The Company shall not be liable for any breach of any warranty in clause 9.1, if:
(a) the deficiency arises from any Input Material, instructions, specification or design supplied by the Customer, or from any other cause which is not due to the neglect or default of the Company;
(b) the full price for the Services has not been paid by the time for payment stipulated in clause 7.2; or
(c) the deficiency is of a type specifically excluded by the Company by notice in writing.
9.5 If upon investigation, the Company reasonably determines that any deficiency in the Services is a result of, or is excused by, any of the matters referred to in clause 9.4, the Customer shall be liable for all costs reasonably incurred by the Company in investigating the same and determining the cause.

10. EXCLUSION OF LIABILITY AND INDEMNITY:
10.1 The following provisions set out the entire financial liability of the Company (including any liability for the acts or omissions of its employees, agents and sub-contractors) to the Customer in respect of:
(a) any breach of these Conditions;
(b) any use made by the Customer of any of the Services; and
(c) any representation, statement or tortious act or omission including negligence arising under or in connection with the Contract.
10.2 All warranties, conditions and other terms implied by statute or common law (save for the conditions implied by section 2 of the Supply of Goods and Services Act 1982 ) are, to the fullest extent permitted by law, excluded from the Contract.
10.3 Nothing in these Conditions excludes or limits the liability of the Company:
(a) for death or personal injury caused by the Company’s negligence; or
(b) under section 2(3), Consumer Protection Act 1987; or
(c) for any matter which it would be illegal for the Company to exclude or attempt to exclude its liability; or
(d) for fraud or fraudulent misrepresentation.
10.4 Subject to clause 10.2 and clause 10.3:
(a) the Company’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of the Contract shall be limited to the Contract price; and
(b) the Company shall not be liable to the Customer for loss of profit, loss of business, or depletion of goodwill in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract.
(c) the Company shall not be liable for any losses arising from:

  • third-party platforms, including but not limited to Google Ads, Facebook, social media platforms, or any other advertising or analytics platforms;
  • changes to third-party platform algorithms, policies, or terms of service;
  • account suspensions or penalties imposed by third parties;
  • loss or corruption of data not caused by the Company’s gross negligence;
  • any use of the Services or Output Material by the Customer after termination of the Contract.
  • economic losses due to search engine or social media algorithm changes;
  • competitor actions or market responses to the Customer’s marketing activities;
  • market saturation effects or changes in consumer behaviour;
  • inaccuracies in data provided by third-party analytics or reporting tools;
  • losses arising from platform policy changes or interpretations thereof;
  • reputational damage not directly caused by the Company’s negligence;
  • business losses due to seasonal variations or economic downturns.
  • advertising cost increases due to market competition or seasonal demand;
  • supply chain disruptions affecting customer inventory or pricing;
  • economic downturns or recessions affecting consumer spending patterns;
  • industry-specific disruptions or regulatory changes affecting the Customer’s sector;
  • force majeure events affecting advertising platform availability or performance;
  • currency fluctuations affecting international advertising costs;
  • changes in consumer behaviour or purchasing patterns beyond the Company’s influence.
  • any limitation, suspension, or modification of tracking capabilities due to privacy regulations, browser updates, or platform policy changes.

10.5 The Customer shall hold the Company harmless and keep the Company fully and promptly indemnified against all direct, indirect or consequential liabilities (all three of which terms include, without limitation, loss of profit, loss of business, depletion of goodwill and like loss), loss, damages, injury, costs and expenses (including legal and other professional fees and expenses) awarded against or incurred or paid by the Company as a result of or in connection with any claim made by or against the Company in respect of any liability, loss, damage, injury, cost or expense whatsoever, howsoever and to whomsoever occurring, to the extent that such liability, loss, damage, injury, cost or expense arises directly or indirectly from the Customer’s instructions or from the Customer’s fraud, negligence, failure to perform or delay in the performance of any of its obligations under the Contract, subject to the Company confirming such costs, charges and losses to the Customer in writing.

11. CHANGES:
The Company reserves the right without prior approval from or notice to the Customer to make any changes in the specification of the Services which are required to conform to any applicable statutory or regulatory requirements or which, in the reasonable opinion of the Company, do not materially affect the specification of the Services.

12. TERMINATION:
12.1 Without prejudice to any other rights or remedies which the parties may have, either party may terminate the Contract without liability to the other immediately on giving notice to the other if:
(a) the other party fails to pay any amount due under the Contract on the due date for payment and remains in default not less than seven days after being notified in writing to make such payment; or
(b) the other party commits a material breach of any of the terms of the Contract and (if such a breach is remediable) fails to remedy that breach within 30 days of that party being notified in writing of the breach; or
(c) the other party repeatedly breaches any of the terms of the Contract in such a manner as to reasonably justify the opinion that its conduct is inconsistent with it having the intention or ability to give effect to the terms of the Contract; or
(d) the other party suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits inability to pay its debts or (being a company) is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or (being a natural person) is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the Insolvency Act 1986 or (being a partnership) has any partner to whom any of the foregoing apply; or
(e) the other party commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors other than for the sole purpose of a scheme for a solvent amalgamation of that other party with one or more other companies or the solvent reconstruction of that other party; or
(f) a petition is filed, a notice is given, a resolution is passed, or an order is made, for or on connection with the winding up of that other party other than for the sole purpose of a scheme for a solvent amalgamation of that other party with one or more other companies or the solvent reconstruction of that other party;
(g) an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the other party; or
(h) a floating charge holder over the assets of that other party has become entitled to appoint or has appointed an administrative receiver; or
(i) a person becomes entitled to appoint a receiver over the assets of the other party or a receiver is appointed over the assets of the other party; or
(j) a creditor or encumbrancer of the other party attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days; or
(k) any event occurs, or proceeding is taken, with respect to the other party in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clauses 12.1(d) 12.1(j) (inclusive); or
(l) the other party suspends or ceases, or threatens to suspend or cease, to carry on all or a substantial part of its business; or
(m) there is a change of control of the other party (as defined in section 574 of the Capital Allowances Act 2001).
12.2 On termination of the Contract for any reason:
(a) the Customer shall immediately pay to the Company all of the Company’s outstanding unpaid invoices and interest and, in respect of any Services supplied but for which no invoice has been submitted, the Company may submit an invoice, which shall be payable immediately on receipt; and
(b) the accrued rights and liabilities of the parties as at termination and the continuation of any provision expressly stated to survive or implicitly surviving termination, shall not be affected.
12.3 Termination for Reputational Risk: The Company may terminate this Contract immediately upon written notice if the Customer’s business, conduct, or public statements pose a significant reputational risk to the Company, including but not limited to involvement in illegal activities, public scandals, or practices inconsistent with the Company’s values.

12.4 Termination for Platform Policy Breaches: The Company may terminate this Contract immediately if the Customer repeatedly breaches third-party platform policies, regardless of whether such breaches result in account suspensions or penalties.

12.5 Graduated Termination for White Label Partners: For white label Services, the Company may implement a graduated termination process, providing the Agency Partner with thirty (30) days to remedy breaches before full termination, except in cases of confidentiality breaches which shall result in immediate termination.

13. GENERAL:
13.1 No forbearance or indulgence granted by the Company to the Customer shall in any way limit the rights of the Company under these Conditions.

13.2 Any notice required or permitted to be given by either party to the other under these Conditions shall be in writing addressed to that other party at its registered office or principal place of business.

13.3 Neither the Company nor the Customer intends that any term of the Contract shall be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.

13.4 If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.

13.5 The Company shall be entitled at its discretion to perform any or all of its obligations under the Contract by using subcontractors.

13.6 The Contract constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings between the parties.

13.10 Survival: The following clauses shall survive termination or expiry of this Contract indefinitely or for the periods specified: (a) Clause 6 (Confidential Information and Intellectual Property Rights); (b) Clause 7.7 (immediate payment obligations); (c) Clause 10 (Exclusion of Liability and Indemnity); (d) Clause 3.99-3.100 (Non-solicitation and compensation); (e) Clause 3.111.5 (Advertising compliance and indemnity); (f) Clause 3.112.4 and 3.112.7 (White label indemnification and non-solicitation); (g) Clause 3.117 (Data retention and deletion); (h) Clause 13.12-13.14 (Dispute resolution and governing law); (i) Any data protection obligations under clause 3.108; (j) Any ongoing audit rights under clause 3.114 (for a period of twelve months post-termination); (k) Any indemnification obligations (indefinitely); (l) This survival clause itself.

13.11 Anti-Bribery and Compliance: 13.11.1 Both parties undertake to comply with all applicable anti-bribery and corruption laws, including but not limited to the Bribery Act 2010.

13.11.2 Neither party shall make or receive any facilitation payments or engage in any corrupt practices in connection with this Contract.

13.11.3 Each party shall maintain appropriate procedures to prevent bribery and shall provide training to relevant personnel.

13.11.4 Each party shall immediately notify the other of any suspected or actual breaches of anti-bribery laws and shall cooperate fully in any investigation.

13.11.5 Either party may terminate this Contract immediately upon discovery of any bribery or corruption by the other party.

13.11.6 The Company maintains a whistleblowing policy and encourages the reporting of any suspected wrongdoing through appropriate channels.

13.12 Any dispute arising under or in connection with the Contract shall be referred to arbitration by a single arbitrator appointed by agreement or (in default) nominated on the application by either party to the President for the time being of the Law Society whose decision as to the type, qualifications and experience of such arbitrator shall be final and binding on the parties.

13.12A Prior to commencing arbitration, the parties agree to attempt to resolve any dispute through mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London. If the dispute is not resolved within 30 days of the mediation request, either party may proceed to arbitration.

13.13 The costs of the arbitrator shall be borne by the parties as he directs and his decision on the issue in dispute shall be final.

13.14 These Conditions shall be subject to and construed under English Law and the parties hereby submit to the exclusive jurisdiction of the English courts for that purpose.
